Letter of Undertaking
In consideration for the donation received from Portwest Unlimited Company (“Portwest”) as part of their 120 Years Sports Sponsorship initiative, we (the “Applicant”) hereby undertake the following:
- To use the donation in the manner described to Portwest, as indicated in the Applicant’s application form and as communicated to Portwest;
- Not to take any action which may adversely affect the goodwill and reputation of Portwest, including but not limited to, negative social media coverage.
- To provide Portwest with a clear headshot image of yourself (approved by Portwest) and a personal biography in advance of receiving any donation (the ‘Accompanying Material’).
- By submitting your application form and Accompanying Material, the Applicants agrees to:
– assign absolutely to Portwest all your intellectual property rights held in your application form and Accompanying Material with full title guarantee; and
– waive absolutely all moral rights,
in and to your application form and Accompanying Material and otherwise arising in connection with your application to which you may now or at any time in the future be entitled.
- The Applicants agrees that Portwest may, in their sole discretion, make your application form and Accompanying Material available on its website www.portwest.com and in any other media which includes but is not limited to features on websites, social media and print material, whether now known or invented in the future, and in connection with any publicity of the initiative.
- The Applicant grants Portwest a non-exclusive, worldwide, irrevocable licence in perpetuity, for the full period of the intellectual property rights in your application form and the Accompanying Materials, to use, display, publish, transmit, copy, edit, alter, store, re-format and sub-licence the intellectual property rights in your application form and the Accompanying Materials for such purposes.
- The Applicant acknowledges as follows all rights in Portwest’s intellectual property, including any goodwill associated with them, shall be the sole and exclusive property of Portwest, and you shall not acquire any rights in Portwest’s intellectual property, nor in any developments or variations of it.
- Portwest grants and the Applicant accepts a worldwide, non-exclusive, royalty free licence to use Portwest’s logo, for 12 months from receipt of any donation, to promote and exploit the sponsorship initiative on the Applicants website and social media channels under any pages or content promoting the receipt of their donation from Portwest. The Portwest logo should not feature beside any other brand logos.
Furthermore, the Applicant confirms –
- They are aged 18 years or over.
- They are solely responsible for obtaining such legal, including tax, advice as they consider necessary or appropriate in connection with receiving any donation under this programme.
- Portwest has made no warranties or representations to the Applicant with respect to any income tax consequences of any donation contemplated by this programme.
Portwest may terminate all association with the Applicant forthwith by notice in writing to the Applicant if the actions of the Applicant cause the name of Portwest to be brought into disrepute as a result of its association with the Applicant. In the event of termination, the Applicant undertakes to remove all social media posts referring to Portwest from all of the Applicant’s social media accounts, and to refrain from referring to Portwest across any of the Applicant’s social media accounts from the date of notice of termination.
Portwest will not in any circumstances be responsible or liable to compensate the Applicant or accept any liability for any loss, damage, personal injury, or death occurring as a result of receiving any donation from Portwest.
